Acceptance of these terms

These Terms of Service are an agreement between you and AI Insight Collective, LLC ("Lowdown," "we," "us"), a Delaware limited liability company. By purchasing Lowdown, you agree to these Terms and to our Privacy Policy. If you're purchasing on behalf of a business, you confirm you're authorized to bind it. Payment and billing are handled by our payment processor, Stripe, under Stripe's own terms; we don't create or manage accounts for you.

What we deliver

Lowdown is a build-and-handover product, not an ongoing hosted service. When you purchase a plan, we rebuild your website with our analytics panel built in, then hand the whole thing over to you: the code through your own GitHub access, the analytics panel, and a hosting account provisioned in your name with one of our hosting partners, such as Vercel or Cloudflare.

Once delivered, the website, its code, its hosting account, and everything it produces belong to you. We do not host your website, operate it, or run anything on your behalf.

Hosting is yours and free

Hosting is provided through the free tier of the hosting partner we set you up with. There is no monthly hosting cost, from us or anyone: free for life, and the account is yours. Your relationship with the hosting provider is directly between you and them, under their terms. We are not a party to it, not a middleman, and not responsible for the provider's service, availability, or policy changes.

The monthly fee is maintenance, nothing else

Your plan's recurring monthly fee is a maintenance fee. It covers our ongoing upkeep of what we built for you: updates, fixes, and improvements to your site and panel, per your plan tier.

• The monthly fee is not hosting. Hosting is free and yours.
• The monthly fee is not a license to use your own website. The site is yours whether you pay us or not.
• If you cancel, the only thing that changes is that we stop maintaining. Your website stays up, stays yours, and keeps running on your free hosting.

Plans, fees & billing

Each plan has a one-time setup fee and a monthly maintenance fee, both charged through Stripe:

• See — $1,000 setup, then $99/month maintenance.
• Know — $2,000 setup, then $149/month maintenance.
• Act — $3,000 setup, then $249/month maintenance.

The setup fee and first month are charged at purchase. Maintenance renews monthly until you cancel. We may, at our sole discretion, reduce or waive the setup fee for any customer or promotion; a waiver applies only to that customer, is not a precedent or entitlement for anyone else, and leaves every other term, including the monthly maintenance fee, fully in effect. Fees are exclusive of applicable taxes. We may change pricing for future billing periods with reasonable notice.

Your content & data

You own your website, its code, its content, and all data it collects. You grant us only the limited access needed to perform maintenance, nothing more. We do not host your site and we do not collect or process your visitors' data; anything your website collects from its visitors is yours and is governed by your own privacy notice, not ours.

Lawful use

Use what we build for lawful purposes and don't infringe others' rights. Because your website and hosting are yours, we have no power or right to suspend or take down your site; your conduct on your own site is between you and your hosting provider, under their acceptable-use policies. We may decline or discontinue providing maintenance for a site used unlawfully.

Cancellation & refunds

You can cancel maintenance anytime; it stops renewing at the end of the current billing month. Maintenance fees are non-refundable; maintenance is consumed as it's delivered. The one-time setup fee is non-refundable upon payment, as build work begins immediately and your website is typically delivered within 24 hours of purchase.

Disclaimers & limitation of liability

Lowdown deliverables are provided "as is." We work hard to make them accurate and reliable, but we don't guarantee specific business results, and analytics are estimates, not certainties. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data, whether the claim is in contract, tort (including negligence), or any other theory, and our total aggregate liability for all claims is limited to the amounts you paid us in the three months before the claim arose. Nothing here limits liability that cannot be limited by law.

Changes to these terms

We may update these terms; material changes get a new date above and, where appropriate, notice to you. Continued purchase of maintenance after a change means you accept the updated terms.

Governing law & venue

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and both parties submit to their jurisdiction and venue.
